1. Acceptance of Terms

By accessing or using StockRead (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms apply to all visitors, registered users, and subscribers.

We reserve the right to update these Terms at any time. Material changes will be notified via email or a prominent notice on the platform. Continued use after changes constitutes acceptance.

2. Description of the Service

StockRead is an AI-powered research tool that reads and summarises publicly available annual reports and financial filings of companies listed on Indian stock exchanges (BSE and NSE). The Service provides:

• AI-generated summaries and structured analysis of annual reports.
• Insights into financial performance, management commentary, risk factors, and compliance disclosures.
• Search and discovery across 500+ Indian listed companies.
• Educational content to help retail investors understand financial documents.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding contract under Indian law to use the Service. By using StockRead, you represent that you meet these requirements.

4. Account Registration

To access certain features, you must create an account using a valid email address or Google Sign-In. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account, whether authorised by you or not.
• Providing accurate, current, and complete registration information.
• Notifying us immediately at support@stockread.in if you suspect unauthorised access to your account.

5. Plans and Billing

StockRead may offer free and paid subscription plans. Details of features available at each plan tier are published on our pricing page.

• Free plan: Subject to usage limits on the number of analyses and report queries per month.
• Paid plans: Billed monthly or annually as selected at checkout. Prices are in Indian Rupees (INR) and inclusive of applicable GST.
• Renewals: Paid plans auto-renew unless cancelled before the renewal date.
• Refunds: We do not offer refunds for partial months. If you cancel, you retain access until the end of your current billing period.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable Indian law, including the SEBI (Prohibition of Insider Trading) Regulations.
• Attempt to reverse engineer, scrape, copy, or redistribute our AI analyses, content, or underlying models without written permission.
• Use automated bots, scrapers, or crawlers to access the Service beyond what is expressly permitted.
• Circumvent usage limits or access controls through technical means or multiple accounts.
• Represent AI-generated analysis as your own original research or publish it commercially without attribution.
• Engage in any conduct that would damage the reputation or integrity of StockRead or its users.

7. AI-Generated Content

The analysis, summaries, and insights provided by the Service are generated by artificial intelligence models and are based on publicly available documents. AI-generated content:

• May contain errors, omissions, or inaccuracies.
• Should not be relied upon as the sole basis for any financial or investment decision.
• Reflects the contents of source documents at the time of analysis and may not capture subsequent events.

Always verify information against the original source documents available on the BSE/NSE disclosure portals.

8. Intellectual Property

All intellectual property rights in the Service, including the platform, interface design, brand, and proprietary AI workflow, are owned by or licensed to StockRead. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your personal, non-commercial research purposes.

The underlying annual reports and financial filings are public domain documents issued by listed companies and regulators.

9. Third-Party Links and Services

The Service may include links to BSE/NSE portals, company investor relations pages, or other external resources. We are not responsible for the content, accuracy, or availability of third-party websites. Links do not imply our endorsement.

10. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if you violate these Terms or engage in conduct that is harmful to the Service or other users. You may also delete your account at any time from your account settings.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated analyses will be accurate, complete, or fit for any particular purpose.

12. Limitation of Liability

To the fullest extent permitted by applicable law, StockRead shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or investment losses arising from your use of or reliance on the Service.

Our aggregate liability for any claim arising out of these Terms shall not exceed the amount you paid us in the three months preceding the claim, or ₹1,000, whichever is greater.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved amicably. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of competent courts in India.
